Software Licence
Effective April 29, 2024
1. Grant of License
SGGIST (hereinafter referred to as "Licensor") hereby grants to the licensee (hereinafter referred to as "Licensee"), a non-exclusive, non-transferable, limited license to use the software code (hereinafter referred to as "Software") solely for Licensee's personal or internal business purposes. This License does not allow the Software to be rented, leased, or otherwise used for commercial hosting services.
2. Restrictions
Licensee shall not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software. The Software is licensed as a single product; its component parts may not be separated for use on more than one computer. Licensee shall not distribute, sublicense, assign, share, sell, rent, or otherwise transfer the Software to any third party.
3. Copyright
All title, copyrights, and intellectual property rights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software) are owned by SGGIST. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. All rights not expressly granted are reserved by SGGIST.
4. Duration of Rights
The rights granted herein are perpetual, provided that this License Agreement remains in full force and effect. This License Agreement will terminate immediately without notice from SGGIST if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must destroy all copies of the Software.
5. Limitation of Liability
In no event shall SGGIST be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if SGGIST has been advised of the possibility of such damages.
6. General
This License Agreement is the entire agreement between SGGIST and the Licensee and supersedes all prior understandings, agreements, or representations. This License Agreement may only be modified in writing signed by an authorized officer of SGGIST.
